Welcome to FarmCredit. These terms govern your use of our agricultural lending platform that connects Nigerian farmers with lenders.

1. Acceptance of Terms

By accessing or using FarmCredit's platform, website, mobile application, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Platform.

These Terms constitute a legally binding agreement between you and FarmCredit Nigeria Limited, a company incorporated under Nigerian law ("FarmCredit," "we," "us," or "our").

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our Platform. Your continued use of the Platform after any changes constitutes acceptance of the new Terms.

2. Our Services

FarmCredit operates as a digital platform that facilitates connections between:

  • Farmers: Individuals or entities engaged in agricultural activities seeking financial assistance
  • Lenders: Financial institutions, microfinance banks, cooperatives, or individual investors willing to provide agricultural loans

Our services include:

  • Credit scoring and risk assessment for farmers
  • Loan application processing and management
  • Secure payment processing through integrated payment gateways
  • Educational resources and agricultural guidance
  • Weather information and farming analytics
  • Document management and verification services
  • Communication tools between farmers and lenders

Important: FarmCredit is a technology platform and intermediary. We do not provide loans directly, nor do we guarantee loan approval or specific terms.

3. Eligibility Requirements

General Requirements:

  • Must be at least 18 years old
  • Must be a Nigerian citizen or legal resident
  • Must have a valid Nigerian phone number and email address
  • Must provide accurate and truthful information

For Farmers:

  • Must be actively engaged in agricultural activities
  • Must provide valid identification (NIN, Driver's License, or International Passport)
  • Must have verifiable farm location and agricultural activities
  • Must complete our credit assessment process

For Lenders:

  • Must be a registered financial institution, cooperative, or qualified individual investor
  • Must provide valid business registration documents
  • Must comply with applicable Nigerian financial regulations
  • Must complete our verification and due diligence process
4. User Accounts and Security

To use our Platform, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized use
  • Keeping your account information current and accurate

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activities.

5. Farmer Obligations and Responsibilities

As a farmer using our Platform, you agree to:

  • Provide accurate information about your farming activities, financial status, and loan requirements
  • Submit genuine and unaltered documents for verification
  • Use loan funds solely for stated agricultural purposes
  • Maintain regular communication with lenders regarding loan status
  • Make timely repayments according to agreed terms
  • Allow reasonable inspection of farming activities by lenders or their representatives
  • Report any significant changes in farming operations or financial circumstances
  • Comply with all applicable agricultural and environmental regulations
6. Lender Obligations and Responsibilities

As a lender using our Platform, you agree to:

  • Comply with all applicable Nigerian lending laws and regulations
  • Conduct fair and transparent lending practices
  • Provide clear loan terms and conditions to farmers
  • Process loan applications in a timely manner
  • Maintain appropriate licenses and registrations for lending activities
  • Treat all farmer information as confidential
  • Follow responsible lending practices and assess borrower capacity
  • Provide reasonable support and guidance to farmers throughout the loan period
7. Platform Role and Limitations

FarmCredit acts solely as an intermediary platform. We do not:

  • Provide loans or financial services directly
  • Guarantee loan approval, terms, or conditions
  • Assume responsibility for loan defaults or disputes
  • Provide investment advice or financial counseling
  • Guarantee the accuracy of user-provided information
  • Insure loans or provide financial guarantees

All loan agreements are directly between farmers and lenders. We facilitate connections and provide tools but are not party to loan contracts.

8. Fees and Payment Processing

FarmCredit may charge fees for certain services, including:

  • Platform usage fees for lenders
  • Transaction processing fees
  • Premium feature access fees
  • Document verification and processing fees

All fees will be clearly disclosed before charging. Payment processing is handled through secure, licensed payment processors. Users are responsible for any third-party payment processing fees.

9. Prohibited Activities

Users are prohibited from:

  • Providing false, misleading, or fraudulent information
  • Using the Platform for illegal activities
  • Attempting to circumvent security measures
  • Harassing, threatening, or abusing other users
  • Using automated systems to access the Platform without permission
  • Reverse engineering or attempting to extract source code
  • Creating multiple accounts to evade restrictions
  • Engaging in money laundering or terrorist financing
  • Violating intellectual property rights
  • Manipulating credit scores or financial information
10. Intellectual Property Rights

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are owned by FarmCredit and are protected by Nigerian and international copyright, trademark, and other intellectual property laws.

Users may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our content without prior written consent.

11. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Platform, you consent to the collection and use of your information as described in our Privacy Policy and in compliance with the Nigeria Data Protection Regulation (NDPR).

12. Disclaimers and Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Accuracy, completeness, or reliability of content
  • Uninterrupted or error-free operation
  • Security of data transmission

We do not guarantee loan approvals, specific interest rates, or successful farming outcomes.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FARMCREDIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption
  • Loan defaults or financial losses
  • Crop failures or agricultural losses

Our total liability shall not exceed the fees paid by you to FarmCredit in the 12 months preceding the claim.

14. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account immediately if you violate these Terms or engage in prohibited activities.

Upon termination:

  • Your access to the Platform will cease
  • Outstanding obligations remain in effect
  • We may retain certain data as required by law
  • Existing loan agreements between farmers and lenders continue independently
15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of the Platform shall be resolved through:

  1. Good faith negotiations between the parties
  2. Mediation through a recognized Nigerian mediation service
  3. Arbitration under the Arbitration and Conciliation Act of Nigeria
  4. Nigerian courts as a last resort

The venue for any legal proceedings shall be Lagos State, Nigeria.
